NOTIFICATION – AGM

The Management Committee of The Place Community and Activity Centre and the Directors of the Sherwood Depot Action Group (SDAG – Not for Profit Company Limited by Guarantee that manages The Place) is to hold its Annual General Meeting on Wednesday 4th September 2024 at 19:30 at The Place.

The Agenda for the meeting is given below.

  1. Motion to amend the SDAG Articles of Association (Article 5a) from “Community Members shall be members who are local residents, local shop keepers and local groups in the Sherwood district of Nottingham as defined in clause three of the Memorandum of Association” to “Community Members shall be members who are local residents, local shop keepers and local groups in Sherwood ward of Nottingham and the surrounding districts as defined in clause three of the Memorandum of Association”.
  2. Motion to amend the SDAG Articles of Association (Article 22) from “No business shall be transacted at a General Meeting unless a quorum of members is present. One half of the membership or twenty members, whichever is the lesser, shall be a quorum.” to “No business shall be transacted at a General Meeting unless a quorum of members is present. Fifteen members shall be a quorum.”.
  3. Motion to amend the SDAG Articles of Association (Article 34) from “The Company shall have a Management Committee comprising not more than twelve and not less than six persons” to “The Company shall have a Management Committee comprising not more than twelve and not less than four persons”.
  4. Motion to delete from the SDAG Articles of Association (Article 36) “Except as provided in Article 41, at each annual General Meeting one third of the elected members of the Management Committee shall retire from office, or fi the number is not a multiple of three then the number nearest to one third shall retire from office. The members to retire shall be those longest in office since their last election. Regarding members of the Management Committee who have been in office for the same length of time then, in the absence of an agreement, members to retire shall be selected by lot. Management Committee members who have served for a period of three years shall stand down and not be available for re-election for a period of one year following their retirement.”.
  5. Motion to amend the SDAG Articles of Association (Article 49) from “The quorum necessary for the transaction of the business of the Management Committee shall be six members of the Management Committee.” to “The quorum necessary for the transaction of the business of the Management Committee shall be four members of the Management Committee.”.
